Tecovas, Inc. (“Tecovas”) loves seeing your content! By responding #TecovasYES to our request for the right to use the content posted on your public social media page(s) and/or by submitting any content to Tecovas through its website (any such content, the “Submission”), you hereby agree to these terms and conditions, (these “Terms”).

General: By agreeing to these Terms, you are automatically granting Tecovas a royalty-free, irrevocable, perpetual, transferable, non-exclusive license throughout the universe to use the Submission, and any photographs, videos, comments, artwork, text, and/or any other content in the Submission, on or in connection with Tecovas’s websites, social media channels, marketing or promotional emails or other materials, including paid and print advertising (collectively, “Tecovas Channels”).

IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT RESPOND #TECOVASYES TO OUR REQUEST OR SUBMIT ANY CONTENT TO TECOVAS’S WEBSITE.

License: You hereby grant Tecovas the non-exclusive, irrevocable, royalty-free, fully-paid, unencumbered, transferable, sub-licensable, perpetual, and universe-wide license and right to use, reproduce, prepare derivative works based upon, distribute, transmit, publicly perform, publicly display, compile, archive, syndicate and otherwise exploit the Submission, as well as any and all derivatives thereof, in any and all languages, and in any and all manners, mediums, and forms now known or hereinafter devised, including the Tecovas Channels. Any credit or other acknowledgement to you, if any, shall be determined in Tecovas’s sole discretion, and Tecovas has no obligation to attribute any use of the Submission to you.

Warranty: You represent and warrant to Tecovas that have full legal right, power, and authority to grant the foregoing licenses, and, that you have secured all necessary rights from any subjects depicted in, and/or individuals who contributed to, the Submission. You further represent and warrant to Tecovas that its use of the Submission hereunder does not, and will not, violate any right (including without limitation copyright, trademark, trade secret, right to privacy, or right of publicity) of, or conflict with or violate any contract with or commitment made to, any person or entity, and that no consent or authorization from any third party is required in connection therewith. I will indemnify and hold harmless Tecovas against all losses, damages, liabilities, claims, actions, judgments, settlements, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorney fees, incurred by Tecovas, arising out of or resulting from any claims based upon invasion of privacy, defamation, or right of publicity or any claim of a third party related to the Submission.

RELEASE: YOU FULLY RELEASE TECOVAS FROM ANY AND ALL LIABILITY, AND WAIVE ALL SUCH LIABILITY, CAUSED BY OR RESULTING FROM THE USE OR POSSESSION OF ANY SUBMISSION OR CAUSED BY OR RESULTING FROM TECOVAS’S USE OF THE SUBMISSION HEREUNDER, INCLUDING BUT NOT LIMITED TO CLAIMS FOR COPYRIGHT OR TRADEMARK INFRINGEMENT, INFRINGEMENT OF MORAL RIGHTS, LIBEL, DEFAMATION, INVASION OF ANY RIGHTS OF PRIVACY. YOU UNDERSTAND AND AGREE THAT IN NO EVENT WILL TECOVAS BE LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, STATUTORY OR PUNITIVE DAMAGES ASSOCIATED WITH TECOVAS’S USE OF THE SUBMISSION HEREUNDER.

Additional Conditions: You acknowledge and agree that you have no right to review or approve any use by Tecovas of the Submission, and that Tecovas has no liability to you for any editing or alteration of the Submission or for any distortion or other effects resulting from Tecovas’s editing, alteration or use of the Submission. Tecovas has no obligation to use the Submission or to exercise any rights given by these Terms.

THESE TERMS PROVIDE TECOVAS WITH YOUR ABSOLUTE AND UNCONDITIONAL CONSENT, WAIVER AND RELEASE OF LIABILITY, ALLOWING TECOVAS TO PUBLICIZE AND COMMERCIALLY EXPLOIT THE SUBMISSION, INCLUDING YOUR NAME, LIKENESS AND OTHER PERSONAL CHARACTERISTICS AND PRIVATE INFORMATION INCLUDED IN SUCH SUBMISSION. YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL OF THESE TERMS.
